- Agreement
These Terms and Conditions (“Agreement”) govern the use of website services (“Services”) provided by Highway Explorers (“Provider”) to the subscribing business owner and any public users of the wayfinding Services (“Party”). By subscribing to the Services, the Client agrees to be bound by this Agreement. - Acceptance of Terms
By accessing or using the Provider’s Services, the Party agrees to be bound by this Agreement. If the Party does not agree with any part of these terms, the Party may not access or use the Provider’s services.
- Description of Services for Highway Explorers
The Provider’s Services include a comprehensive wayfinding tool to assist with public users exploring the province of Manitoba through different search types, by place, route or events. The Provider’s Services include owners of businesses/ events to post their information for purposes of advertising their business/ event via free user exploration through wayfinding sources. The Provider reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
- Eligibility
Use of this website is intended for individuals who are 13+ years of age, depending on the applicable jurisdiction. By using the site, the Party confirms that the Party meet the minimum age requirement. - User Accounts
The Party may be required to create an account to access certain features of the Provider’s services. The Party is responsible for maintaining the confidentiality of their account and password and for restricting access to the Party’s account. The Party agrees to accept responsibility for all activities that occur under their account. - Use of the Website
The Party agrees not to use the Provider’s services for any unlawful purpose or in any way that violates these Terms and Conditions. The Party also agrees not to:
- Harass, abuse, or harm other users
- Violate the rights of third parties
- Interfere with or disrupt the operation of the Provider’s services
- Use the Provider’s services for commercial solicitation without prior written consent
- Attempt to gain unauthorized access to the Party’s website or its systems.
- Upload or transmit harmful code (e.g., viruses, malware).
- Use the website in a way that could damage, disable, or impair its operation.
Business/ Owner
As a Business/ Owner (Party) of a place or event, once the form is submitted, the Party has opted to be listed on Highway Explorers. Highway Explorers will review all submitted information prior to posting on the live website. Once posted, the Party is solely responsible for the content presented on their feature page. Highway Explorers assumes no responsibility for incorrect or outdated information. However, the Party reserve the right to remove any content deemed inflammatory.
- Intellectual Property
All content and materials available with the Provider’s services, including but not limited to text, graphics, logos, images, and software, are the property of Highway Explorers (www.highwayexplorers.com) or its licensors and are protected by copyright, trademark, and other intellectual property laws unless otherwise noted. No outside Party may copy, reproduce, modify, or distribute any content without prior written consent, except for personal, non-commercial use. - Third-Party Links
This website may contain links to third-party websites. These are provided for convenience only. The Provider does not endorse, control, or take responsibility for third-party sites or their content. - Disclaimer of Warranties
This website is provided “as is” and “as available” without warranties of any kind, express or implied. The Provider does not guarantee that the website will be uninterrupted, secure, or error-free. - Limitation of Liability
To the fullest extent permitted by law, Highway Explorers (highwayexplorers.com) shall not be liable for any damages, losses, or claims arising from the Party’s use of the website or in any way connected with the use of the Provider’s services, including but not limited to indirect, incidental, or consequential damages. - Indemnification / Hold Harmless
The Party agrees to indemnify, defend, and hold harmless Highway Explorers, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from:
- The Party’s content or data,
- The Paty’s use of the Services,
- Any breach of this Agreement by the Party.
- Privacy
Any personal information collected through this website will be handled in accordance with our [Privacy Policy]. - Fees and Payment
- Use of our Services is free to use for public user, aka Party.
- For business/ owner Parties, the Basic Package is always free to use to submit and post their business. This does not include the posting/ linking to social media and/ or video platforms, and featured offers.
- The Enhanced Package will be available for a six-month trial once requested and a payment type is verified. The six-month trial includes posting/ linking to social media and/ or video platforms, and featured offers. After the free trial, an automatic annual fee of $69/year will be charged to the Party’s form of payment.
- It will automatically renew annually unless either the Party and/ or the Provider provides written notice of termination at least 7 days before renewal.
- Fees are non-refundable, except as otherwise required by law.
- Failure to pay may result in suspension or termination of the Services.
- Termination of Use
The Provider reserves the right to suspend or terminate access to the website at the Provider’s sole discretion, without notice, if the Party violates this Agreement. - Term and Termination
This Agreement is valid for a one-year term upon receipt of payment.
The Provider may terminate the Agreement immediately if the Party breaches its obligations.
- Entire Agreement
This document constitutes the entire agreement between the parties regarding the Provider’s Services and supersedes all prior agreements, discussions, or understandings. - Changes to These Terms
Highway Explorers may update these Terms and Conditions from time to time. The updated version will be posted here with the “Last Updated” date. The Party’s continued use of the site constitutes acceptance of any changes. - Governing Law
These Terms and Conditions are governed by the laws of Manitoba, Canada, without regard to its conflict of law provisions.
